Please read these terms carefully before using our platform. By using 2WayStreet, you agree to be bound by these terms.

2WayStreet Terms and Conditions

These Terms and Conditions govern your use of the 2WayStreet website, platform and services.

Please read them carefully before creating an account or using 2WayStreet.

2WayStreet is operated by Warwickshire Arts Productions Ltd. By creating an account, accepting these Terms or using the services provided through 2WayStreet, you agree to be bound by these Terms.

1. Who We Are

2WayStreet is an online platform designed to connect artists, entertainers and venues throughout the United Kingdom and to help them discover opportunities, communicate and arrange live entertainment bookings.

In these Terms, references to "2WayStreet", "we", "us" and "our" mean Warwickshire Arts Productions Ltd operating the 2WayStreet platform.

References to "artist" include bands, singers, musicians, DJs, entertainers, performers and other entertainment providers using the platform.

References to "venue" include pubs, clubs, restaurants, event organisers, businesses and other persons or organisations seeking entertainment through the platform.

2. Your Agreement with Us

By registering for an account, accepting these Terms or using 2WayStreet, you enter into an agreement with Warwickshire Arts Productions Ltd for use of the 2WayStreet platform.

You must provide accurate information when registering and keep your account information reasonably up to date.

You are responsible for keeping your login details and password secure and should notify us promptly if you believe your account has been accessed without permission.

If you create or operate an account on behalf of a band, venue, company, partnership or other organisation, you confirm that you have authority to act on its behalf.

You must have legal capacity to enter into this agreement.

3. What 2WayStreet Does

2WayStreet provides an online platform through which artists and venues can discover one another, communicate, advertise opportunities and arrange entertainment bookings.

2WayStreet provides the platform and facilitates the introduction and booking process.

Unless expressly agreed otherwise in writing, 2WayStreet is not an entertainment agency and does not act as the artist, venue, employer, employee, agent, manager, representative or contracting party in relation to a performance.

Once a booking has been accepted, the performance agreement is between the artist and the venue.

2WayStreet is not a party to that agreement.

Responsibility for fulfilling an accepted booking rests with the artist and venue concerned.

4. Bookings and Responsibility

Artists and venues are responsible for checking and agreeing all relevant details before accepting a booking.

These may include:

  • the date;
  • venue;
  • arrival time;
  • performance time;
  • performance duration;
  • performance fee;
  • payment arrangements;
  • equipment;
  • facilities;
  • insurance;
  • licences;
  • cancellation arrangements; and
  • any other requirements relevant to the engagement.

Once a booking has been accepted, responsibility for fulfilling that booking rests with the artist and venue.

2WayStreet is not responsible for either party subsequently failing to fulfil the booking.

Without limitation, 2WayStreet is not responsible where:

  • an artist cancels;
  • an artist fails to attend;
  • an artist arrives late;
  • an artist fails to perform as expected;
  • an artist does not perform for the agreed period;
  • a venue cancels;
  • a venue changes the agreed arrangements;
  • a venue fails or refuses to pay an artist;
  • either party disputes the agreed fee;
  • either party disputes the agreed performance arrangements;
  • equipment fails or is unavailable;
  • either party considers the other's performance, facilities, behaviour or service unsatisfactory;
  • an event is disrupted or cancelled;
  • an artist or venue fails to obtain appropriate licences, permissions or insurance;
  • property is lost or damaged;
  • an accident, injury or other incident occurs in connection with the performance; or
  • either party otherwise fails to fulfil its agreement with the other.

Any dispute arising from an accepted booking must be resolved between the artist and venue concerned.

Users should retain an appropriate record of the arrangements they have agreed.

2WayStreet may choose to assist communication between users or investigate an incident for the purposes of maintaining the integrity of the platform.

Any assistance provided by 2WayStreet does not make us a party to the booking and does not mean that we accept responsibility for the dispute or its outcome.

Nothing in these Terms excludes any liability that cannot lawfully be excluded.

5. Free Artist Accounts

A Free Artist Account has no monthly subscription charge and allows the artist to be visible to venues using 2WayStreet. A flat-rate fee of £10 is payable only for each booking obtained through 2WayStreet that is completed.

The booking fee becomes due when the booking has been completed.

If a Free Artist completes multiple bookings obtained through 2WayStreet, a separate flat-rate £10 fee applies to each completed booking.

If a booking is cancelled or does not take place, the £10 completed-booking fee is not charged. Any refund rights provided by applicable law remain unaffected.

Free accounts may have more limited features or visibility than Pro accounts.

6. Pro Artist Accounts

The current standard Pro Artist subscription is £10 per month unless a different promotional or agreed price is clearly displayed before purchase.

Artists with an active Pro subscription do not pay the £10 Free Artist booking fee for bookings completed while their Pro subscription is active.

Pro membership may include features such as:

  • a publicly accessible artist profile;
  • demo or performance video facilities;
  • fan mailing-list facilities;
  • invoicing facilities;
  • enhanced or priority visibility;
  • promotional opportunities; and
  • other Pro features identified on the 2WayStreet website.

Features may evolve as the platform develops.

7. Pro Subscription Payments and Cancellation

Pro subscriptions are normally collected through our appointed payment provider.

Unless stated otherwise before purchase, Pro subscriptions automatically renew each month until cancelled.

Artists can cancel their subscription using the facilities provided within their account or by contacting us.

Cancellation prevents future subscription renewals.

Paid features will normally remain available until the end of the subscription period already paid for.

Any cancellation, cooling-off or refund rights provided by applicable UK law remain unaffected by these Terms.

Where applicable law gives a user a right to cancel or receive a refund, we will honour that right.

We may change subscription prices in the future.

Where a price change affects an existing subscription, we will provide appropriate advance notice where required.

Any specific price guarantee or promotional offer expressly made to a user will be honoured according to the conditions of that offer.

8. Venues

Venue accounts are currently provided free of charge unless otherwise stated.

Venues must provide accurate information and use information obtained through 2WayStreet only for legitimate purposes associated with entertainment enquiries and bookings.

Venues are responsible for deciding whether an artist is suitable for their requirements.

Venues are responsible for the practical and legal arrangements applicable to their premises and events, including any licences, permissions, insurance, health and safety requirements and facilities required by law or agreed with an artist.

2WayStreet does not guarantee the suitability, availability, reliability or performance quality of any artist.

9. Artists

Artists are responsible for ensuring information contained within their account and profile is accurate and not misleading.

This includes, where applicable:

  • artist or band name;
  • entertainment type;
  • location;
  • biography;
  • photographs;
  • videos;
  • availability;
  • pricing information; and
  • promotional information.

Artists are responsible for deciding whether a venue, event or booking opportunity is suitable for them.

Artists are responsible for any tax, National Insurance, insurance, licences, permissions, equipment or other legal or professional requirements applicable to their activities.

2WayStreet does not employ artists registered on the platform.

Registration with or payment to 2WayStreet does not create an employment, worker, partnership or agency relationship between an artist and Warwickshire Arts Productions Ltd.

10. Complimentary, Promotional and VIP Access

We may provide complimentary, promotional or VIP access to selected users.

Such access may provide some or all paid features without requiring a normal paid subscription.

Complimentary or VIP status is discretionary, personal to the account and non-transferable.

Unless expressly stated otherwise, complimentary access does not create a permanent or lifetime entitlement.

We may amend or withdraw complimentary access on reasonable notice, or immediately where there is misuse, fraud or a breach of these Terms.

11. Profiles and Verification

We may undertake checks intended to help establish that an account represents a genuine artist, entertainment provider or venue.

Any indication that an account or profile has been "verified" relates only to the checks actually undertaken by 2WayStreet.

Verification does not constitute:

  • an endorsement;
  • a criminal-record check;
  • a financial check;
  • a guarantee of identity;
  • a guarantee of suitability;
  • a guarantee of reliability; or
  • a guarantee that all information supplied by the user is accurate.

Users remain responsible for making any checks they consider necessary before entering into a booking.

We may approve, reject, hide, restrict or remove a profile where reasonably necessary for moderation, security, accuracy, legal compliance, quality control or protection of the platform or its users.

12. Recommendations, Reviews and Artist Ratings

2WayStreet may operate recommendations, reviews, ratings, rankings, badges or other indicators designed to help users assess activity and engagement on the platform.

These may take account of factors including:

  • venue recommendations;
  • user feedback;
  • booking history;
  • response behaviour;
  • platform activity; and
  • other criteria selected by 2WayStreet.

Ratings and recommendations are provided as guidance only.

They do not constitute a guarantee by 2WayStreet regarding an artist's or venue's reliability, quality, suitability, financial standing, safety or future conduct.

Users submitting recommendations or reviews must base them on genuine experiences and must not knowingly provide false, misleading, defamatory, abusive or fraudulent information.

We may investigate, withhold or remove reviews, recommendations or ratings where reasonably necessary.

We may alter the criteria or methodology used to calculate platform ratings and rankings as the service develops.

Attempts to manipulate ratings, recommendations, reviews or platform statistics may result in restriction or suspension of an account.

13. Charts, Awards and Promotional Features

2WayStreet may operate charts, rankings, Artist of the Month features, awards or other promotional activities.

These are discretionary promotional features.

Eligibility criteria, methodology and presentation may change as the platform develops.

We may investigate artificial or abusive activity and correct errors.

Membership of any account type does not guarantee inclusion or placement in a chart, award, promotional feature, social-media post or other marketing activity.

14. User Content and Copyright

Users remain responsible for material they upload, submit, embed, link to or otherwise provide through 2WayStreet.

This may include photographs, videos, recordings, music, logos, biographies, listings, messages, reviews and other content ("User Content").

You must own your User Content or have all licences, permissions and consents necessary to use it.

You must not upload or submit material that:

  • infringes copyright, trade marks or other intellectual-property rights;
  • is unlawful;
  • is knowingly false or misleading;
  • is defamatory;
  • is threatening or abusive;
  • unlawfully discriminates against another person;
  • is obscene;
  • is fraudulent;
  • unlawfully infringes another person's privacy; or
  • contains malicious software or code.

You retain ownership of your User Content.

By providing User Content to 2WayStreet, you grant Warwickshire Arts Productions Ltd a non-exclusive, royalty- free licence to host, store, copy, resize, format, reproduce and display that material as reasonably necessary to operate 2WayStreet, provide your profile and services, and promote 2WayStreet and your presence on the platform.

This permission does not transfer ownership of your content to us.

We may restrict or remove content where we reasonably believe it breaches these Terms, infringes another person's rights or creates a legal, security or reputational risk.

15. Acceptable Use

Users must not:

  • use 2WayStreet for unlawful or fraudulent purposes;
  • impersonate another person or organisation;
  • deliberately provide materially false information;
  • harass, threaten or abuse another user;
  • attempt unauthorised access to another account or our systems;
  • introduce viruses, malicious software or harmful code;
  • scrape, harvest or systematically extract information from the platform without permission;
  • interfere with the normal operation or security of 2WayStreet;
  • manipulate reviews, recommendations, ratings or statistics;
  • misuse messaging or communication facilities;
  • use another person's personal information unlawfully; or
  • use the platform in a way that may expose 2WayStreet or another user to legal liability.

We may investigate suspected misuse and take reasonable action where necessary.

16. Circumventing 2WayStreet

Users must not deliberately use information, messaging facilities or contacts obtained through 2WayStreet for the purpose of avoiding booking fees or other legitimate charges payable to 2WayStreet.

For example, a Free Artist must not arrange or complete a booking directly with a venue in order to avoid the £10 fee where the booking opportunity or introduction originated through 2WayStreet.

We may restrict, suspend or close accounts where we reasonably believe the platform is being deliberately used to avoid applicable charges.

Outstanding fees legitimately due to 2WayStreet remain payable following suspension or closure of an account.

17. Messages, Emails and Notifications

We may send communications necessary to operate your account and provide the service.

These may include messages concerning:

  • bookings;
  • enquiries;
  • account security;
  • payments;
  • subscriptions;
  • changes to the service; and
  • customer support.

Service communications are separate from optional marketing communications.

Marketing communications will be handled in accordance with applicable UK data-protection and electronic- marketing law.

Where consent is legally required, it will be requested separately.

Users may unsubscribe from marketing communications using the method provided, but this will not prevent essential account or service communications.

18. Privacy and Personal Information

Warwickshire Arts Productions Ltd is responsible for personal information processed in connection with the operation of 2WayStreet as explained in our Privacy Policy.

Our Privacy Policy explains the personal information we collect, how and why we use it, the lawful bases on which we rely, how long information may be retained, who information may be shared with and the rights available to individuals.

Users receiving personal information concerning another user through 2WayStreet must use that information responsibly, securely and only for an appropriate lawful purpose.

Acceptance of these Terms does not constitute blanket consent to marketing or every form of personal-data processing.

19. Account Suspension and Closure

We may restrict, suspend or close an account where we reasonably believe this is necessary because of:

  • a serious or repeated breach of these Terms;
  • fraudulent or misleading activity;
  • abusive behaviour;
  • misuse of the platform;
  • deliberate avoidance of applicable fees;
  • non-payment of charges properly due to us;
  • security concerns;
  • unlawful activity;
  • infringement of another person's rights; or
  • a significant risk to 2WayStreet or its users.

Where appropriate, we will explain the reason and provide an opportunity for the user to contact us.

Users may request closure of their account.

Closing an account does not remove fees, obligations or liabilities arising before closure.

Personal information will be retained, deleted or anonymised in accordance with our Privacy Policy and applicable law.

20. Availability of 2WayStreet

We take reasonable care in operating the platform but cannot guarantee that 2WayStreet will always be available, uninterrupted or error-free.

We may temporarily suspend or restrict the service for maintenance, upgrades, security, technical problems or circumstances outside our reasonable control.

We may add, remove, replace or alter features where reasonably necessary as the service develops.

We do not guarantee compatibility with every device, browser, operating system or third-party service.

21. Third-Party Services

2WayStreet may use or link to third-party services including payment providers, hosting providers, mapping services, social networks and other websites or technology providers.

Those services may operate under their own terms and privacy policies.

We are not responsible for the availability, content or independent actions of third-party services that we do not control.

22. Our Responsibility and Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, and nothing affects statutory rights or protections that cannot legally be excluded or limited.

As explained in Section 5, 2WayStreet is a platform and is not responsible for the acts, omissions, conduct or contractual obligations of artists, venues or other users, including failures relating to an accepted booking.

We are also not responsible, to the fullest extent permitted by applicable law, for losses caused by inaccurate information supplied by another user, reliance on another user's profile, review, rating or recommendation, or circumstances at a performance or venue outside 2WayStreet's control.

For users acting in the course of a business, we will not be liable, to the extent permitted by law, for indirect or consequential loss, loss of profits, loss of business, loss of anticipated savings, loss of opportunity or loss of goodwill arising from use of the platform.

This section does not exclude responsibility for 2WayStreet's own obligations where liability cannot lawfully be excluded.

23. No Guarantee of Bookings or Income

2WayStreet does not guarantee that an artist will receive any particular number of enquiries, bookings or amount of income.

We do not guarantee that venues will find a suitable artist or that any artist contacted through the platform will be available.

Search position, priority listing, ratings, recommendations, membership level and promotional features do not constitute guarantees of bookings or income.

24. Changes to 2WayStreet

We may develop, improve or alter the platform from time to time.

This may include adding, changing or removing features or changing the way existing features operate.

We will not use this provision to remove statutory rights or retrospectively impose additional charges that have not been properly disclosed.

Where a material change affects a paid service, we will provide appropriate notice where required by applicable law.

25. Changes to These Terms

We may update these Terms where reasonably necessary to reflect:

  • changes to 2WayStreet;
  • changes to our business;
  • legal or regulatory requirements;
  • security requirements; or
  • new or altered features.

The current version and its effective date will be published on the website.

Where a change materially affects an existing user's rights, responsibilities or charges, we will provide reasonable notice where required and may ask the user to accept the revised Terms.

Urgent changes required for legal, regulatory or security reasons may take effect sooner.

If you do not agree with a material change, you may stop using the service and close your account, subject to any outstanding obligations.

26. Intellectual Property in 2WayStreet

The 2WayStreet name, branding, website design, software, databases and original platform content are owned by or licensed to Warwickshire Arts Productions Ltd unless otherwise stated.

Nothing in these Terms transfers ownership of our intellectual property to users.

Users may not copy, reproduce, distribute or commercially exploit our software, branding or proprietary platform content without permission except where permitted by law.

This does not affect ownership of User Content.

27. Events Outside Our Control

We will not be responsible for failure or delay in providing the platform caused by circumstances outside our reasonable control.

This may include:

  • internet or telecommunications failures;
  • hosting or infrastructure failures;
  • power failures;
  • cyber incidents despite reasonable precautions;
  • natural disasters;
  • government action; or
  • other events that we could not reasonably prevent.

This section does not remove any rights or liabilities that cannot legally be excluded.

28. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

29. No Waiver

If we delay or choose not to enforce a provision of these Terms on one occasion, this does not prevent us from enforcing that provision subsequently.

30. Transfer of Accounts

Users may not sell, transfer or assign their 2WayStreet account or their rights under these Terms to another person without our permission.

31. United Kingdom Users and Governing Law

2WayStreet operates throughout the United Kingdom, including England, Wales, Scotland and Northern Ireland.

Warwickshire Arts Productions Ltd is registered in England and Wales and operates 2WayStreet from England.

Except where mandatory law provides otherwise, these Terms and the relationship between you and 2WayStreet are governed by the laws of England and Wales.

If you are a consumer resident in Scotland or Northern Ireland, nothing in these Terms deprives you of any mandatory rights or protections available to you under the laws applicable in the part of the United Kingdom in which you live.

Consumers may bring legal proceedings in the courts available to them under applicable law, including their local courts where they are legally entitled to do so.

Nothing in these Terms is intended to restrict any statutory consumer rights or other legal protections that cannot lawfully be excluded or limited in England, Wales, Scotland or Northern Ireland.
